On September 25, 2013, Andrew S. May, President of May Law, PC attended a conference in Chicago entitled “The JOBS Act: A Practical Outlook and Overview for Securities Practitioners and In-House Counsel.”

Among the topics discussed were the impact of general advertising and general solicitation for hedge funds and the attorneys who represent hedge funds, and how the JOBS Act preempts FINRA’s rules with respect to Emerging Growth Companies.

Lastly, an in depth discussion was had about the new income and verification requirements under Rule 506(c) of Regulation D and how issuers and hedge funds could satisfy the same based on information reviewed and provided by broker-dealers and registered investment advisors (RIAs).
